1. Acceptance of Terms

By accessing or using upclic.ai ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Description of Service

upclic.ai provides AI-powered optimization for Reddit advertising campaigns, including:

  • AI-generated ad creative variants
  • Automated A/B testing and performance analysis
  • Campaign management and metrics tracking
  • Cross-campaign learning and recommendations

3. Account Registration

To use the Service, you must:

  • Be at least 18 years old
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized account access

You are responsible for all activities that occur under your account.

4. Reddit Ads Account Connection

To use our optimization features, you must connect your Reddit Ads account via OAuth. By doing so, you:

  • Authorize us to access your Reddit Ads data as described in our Privacy Policy
  • Confirm you have authority to grant such access
  • Agree to comply with Reddit's Advertising Policies and Terms of Service

5. Consent to Anonymized Data Sharing

Important: Cross-Campaign Learning

By using this Service, you explicitly consent to the following:

  • We extract anonymized learnings from your A/B test results to improve recommendations for all users
  • These learnings are fully anonymized: no user IDs, campaign names, exact ad copy, or precise metrics are retained
  • Insights are categorized by broad industry categories only (e.g., "saas", "ecommerce", "retail")
  • Metrics are stored as ranges (e.g., "CTR improved 15-25%") rather than exact values
  • You may opt out of contributing learnings in your account settings, which will also limit your access to shared insights

This data sharing is designed to comply with Reddit Business Tool Terms while enabling our cross-campaign learning features. The anonymization process ensures that no individual user, campaign, or ad can be identified from the stored learnings.

6. Subscription and Payment

6.1 Pricing

The Service is offered on a subscription basis. Current pricing is displayed on our website and may be updated from time to time with notice.

6.2 Billing

  • Subscriptions are billed in advance on a monthly basis
  • Payment is processed securely via Stripe
  • You authorize us to charge your payment method for recurring fees

6.3 Cancellation

  • You may cancel your subscription at any time
  • Cancellation takes effect at the end of the current billing period
  • No refunds are provided for partial billing periods

7. Usage Limits

Your subscription tier determines your usage limits, including:

  • Number of campaigns
  • A/B test cycles per day
  • API request limits

We reserve the right to enforce these limits and may suspend accounts that exceed them.

8. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of Reddit's policies
  • Create ads that are deceptive, misleading, or violate advertising standards
  • Attempt to reverse engineer, decompile, or extract our AI models
  • Share your account credentials or allow unauthorized access
  • Interfere with or disrupt the Service or servers
  • Use automated tools to access the Service except as explicitly permitted

9. Intellectual Property

9.1 Our Property

The Service, including its AI models, algorithms, software, and documentation, is owned by upclic.ai and protected by intellectual property laws.

9.2 Your Content

You retain ownership of your ad creative content. By using the Service, you grant us a license to use, modify, and display your content as necessary to provide the Service.

9.3 AI-Generated Content

Ad variants generated by our AI are provided for your use in your advertising campaigns. You are responsible for reviewing and approving all AI-generated content before publication.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE DO NOT GUARANTEE:

  • Specific advertising performance or results
  • Uninterrupted or error-free service
  • That AI-generated content will comply with all regulations

You are solely responsible for ensuring your ads comply with applicable laws and Reddit's policies.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UPCLIC.AI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

Our total liability shall not exceed the amount you paid for the Service in the twelve months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless upclic.ai from any claims, damages, or expenses arising from:

  • Your use of the Service
  • Your advertising content
  • Your violation of these Terms
  • Your violation of any third-party rights

13. Termination

We may suspend or terminate your account if you violate these Terms or for any other reason with notice. Upon termination:

  • Your access to the Service will cease
  • Your data will be handled according to our Privacy Policy
  • Anonymized learnings already extracted will remain in our system

14. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated via email or through the Service. Continued use after changes constitutes acceptance.

15. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

16. Dispute Resolution

Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in court.
